1.1 The Site is owned and operated by RUC ON RAILS LIMITED, a company incorporated in New Zealand.

1.2 “RUC Compare”, “we”, “us”, and “our” refer to RUC ON RAILS LIMITED in its capacity as operator of the Site.

1.3 RUC Compare is not a separate legal entity, regulator, public authority, or Crown body.

2.1 The Site provides general information and comparison functionality relating to Road User Charge (RUC) providers, products, and related services in New Zealand.

2.2 The Site does not:

• Issue Road User Charge licences;
• Process RUC payments;
• Act as an agent for any RUC provider unless expressly stated;
• Provide regulatory, legal, financial, or compliance advice;
• Certify, approve, or endorse any provider or product.

2.3 The Site exists solely as an informational and comparison platform. Any transaction you enter into with a third party is exclusively between you and that third party.

3.1 Inclusion of a provider or product on the Site does not constitute endorsement, recommendation, certification, verification, partnership, or approval.

3.2 We do not act as agent, representative, broker, intermediary, fiduciary, or advisor for any provider unless explicitly stated in writing.

3.3 We do not assume responsibility for any act, omission, pricing, fee structure, service failure, delay, incentive withdrawal, or contractual breach by any third party.

3.4 References to third-party brands, business names, logos, and trademarks on the Site are for identification and informational purposes only. All trademarks and intellectual property rights remain the property of their respective owners.

3.5 Unless expressly stated by us in writing, we do not claim, and you must not assume, that any provider, vendor, or organisation listed on the Site has any commercial arrangement, affiliation, endorsement relationship, partnership, or sponsorship relationship with us.

3.6 Logos and trademarks displayed on the Site are used solely for identification, comparison, and informational purposes. Such use does not imply endorsement, sponsorship, affiliation, or commercial relationship unless expressly stated in writing. All rights remain with the respective trademark owners.

4.1 Providers and product vendors may pay for enhanced visibility, featured placement, advertising inventory, or promotional exposure on the Site.

4.2 Sponsored placements are identified as such. However, you acknowledge that promotional positioning may affect visual prominence, layout, or ordering.

4.3 Objective sorting functions, where offered, are based on available data inputs at the time of display. We do not guarantee completeness or real-time accuracy of such data.

4.4 We reserve absolute discretion regarding:

• Which providers are listed;
• The format of listings;
• How information is displayed;
• How categories are structured;
• Whether to accept advertising.

4.5 We are not obligated to list any provider or product and may remove listings at our sole discretion without notice.

4.6 Rankings, scores, or comparisons displayed on the Site may be influenced by user-submitted reviews (where enabled), reported availability of product features, accessibility factors, and other inputs used in our comparison methodology. We do not guarantee that any ranking or score reflects any provider’s actual performance for any individual user or circumstance.

5.1 Information displayed on the Site may be sourced from publicly available material, direct provider submissions, regulatory documents, or third-party sources.

5.2 We do not warrant that information is:

• Accurate;
• Complete;
• Current;
• Up-to-date;
• Suitable for your specific needs.

5.3 Pricing, fees, promotions, incentives, and eligibility conditions may change without notice.

5.4 You are solely responsible for verifying any information directly with the relevant provider before entering into a transaction.

5.5 We accept no responsibility for losses arising from reliance on pricing comparisons, promotional representations, eligibility assumptions, or feature descriptions.

5.6 To the extent we display provider pricing, fees, mark-ups, or estimated total costs, these may reflect summaries, calculations, or interpretations derived from publicly available information. Estimates may include base charges published by NZTA and additional fees published by providers (where available). You acknowledge that any displayed estimate is indicative only and may not reflect the final price you are offered or pay.

5.7 We may list providers, products, and services based on publicly available information without notice to, consent from, or approval by the provider. Providers may request correction of factual inaccuracies, but we are not required to remove a provider solely because the provider objects to being listed.

6.1 The Site may allow users to submit reviews, ratings, comments, feedback, or other content (User Content) relating to providers, products, or services.

6.2 User Content reflects the views and experiences of the submitting user only. User Content does not represent our views and must not be interpreted as fact, advice, or verified claims.

6.3 Reviews and ratings are submitted directly to RUC Compare and are not collected, imported, or aggregated from third-party review platforms unless we explicitly state otherwise.

6.4 All User Content is subject to moderation. We may, at our sole discretion and without notice, refuse, edit, redact, delay publication of, or remove any User Content.

6.5 Without limiting clause 6.4, you must not submit User Content that:

• is false, misleading, deceptive, or materially incomplete;
• alleges criminal conduct, fraud, or unethical conduct unless you can substantiate the claim with credible evidence;
• is defamatory, abusive, harassing, threatening, obscene, or hateful;
• contains personal information about another person (including names of staff, phone numbers, addresses, private emails, or identifying details);
• infringes intellectual property rights or confidentiality obligations;
• is promotional, advertorial, or intended to manipulate ratings (including incentivised reviews, review swapping, or competitor targeting);
• is submitted multiple times or via coordinated activity intended to distort rankings.

6.6 You warrant that any User Content you submit is truthful to the best of your knowledge, based on your genuine experience, and submitted in good faith.

6.7 You grant us a worldwide, non-exclusive, royalty-free, perpetual licence to use, reproduce, publish, display, modify (for formatting or moderation), translate, and distribute your User Content on the Site and in related marketing or reporting materials.

6.8 We do not guarantee that any User Content will be published, retained, or remain available. We are not required to provide reasons for moderation decisions.

6.9 Providers may submit a correction request or dispute a review. We may, at our discretion, remove or amend User Content that appears inaccurate, unlawful, or in breach of these Terms. We are not required to adjudicate disputes between users and providers.

6.10 Where rankings, scores, or comparisons are influenced by reviews, you acknowledge that outcomes may change over time as new reviews are submitted, moderated, or removed.

7.1 The Site contains links, redirects, tracking links, affiliate links, and references to third-party websites.

7.2 We have no control over the content, security, privacy practices, availability, or accuracy of third-party websites.

7.3 We are not liable for:

• Any transaction conducted on third-party websites;
• Any malware, data breach, or security incident arising from third-party platforms;
• Any misrepresentation or false claim made by third parties;
• Any product defect or service failure.

7.4 Accessing third-party links is entirely at your own risk.

8.1 To the maximum extent permitted by New Zealand law, we exclude all liability for any loss or damage arising from or in connection with:

• Use of the Site;
• Inability to access the Site;
• Reliance on content;
• Provider disputes;
• Pricing inaccuracies;
• Missed promotions;
• Delayed switching;
• Third-party links;
• Data errors;
• Service interruptions.

8.2 We are not liable for:

• Loss of profits;
• Loss of revenue;
• Loss of opportunity;
• Loss of anticipated savings;
• Loss of goodwill;
• Indirect or consequential loss.

8.3 Where liability cannot legally be excluded, our total aggregate liability is limited to the lesser of:

You agree to indemnify and hold harmless RUC ON RAILS LIMITED, its directors, employees, contractors, affiliates, and agents from any claim, loss, liability, damage, or expense (including legal costs) arising from:

• Your breach of these Terms;
• Your misuse of the Site;
• Your dispute with a provider;
• Your reliance on Site content;
• Your infringement of third-party rights.

10.1 All intellectual property rights in the Site, including databases, comparison structures, categorisation logic, layout, branding, and content, are owned by or licensed to RUC ON RAILS LIMITED.

10.2 You may access the Site for personal, non-commercial use only.

10.3 You must not:

• Scrape;
• Mirror;
• Reverse engineer;
• Extract datasets;
• Use automated bots;
• Republish substantial portions of the Site without written consent.

10.4 Unauthorised scraping or commercial extraction constitutes a material breach of these Terms.

You must not:

• Use the Site for unlawful purposes;
• Attempt to gain unauthorised access;
• Interfere with Site infrastructure;
• Impersonate another person;
• Misrepresent affiliation;
• Use the Site to harass or defame any provider.

We may suspend or block access without notice if misuse is detected.

12.1 The Site is provided on an “as is” and “as available” basis.

12.2 We do not guarantee uninterrupted availability.

12.3 We are not responsible for downtime, technical errors, maintenance periods, or server interruptions.

13.1 Your use of the Site is also governed by our Privacy Policy, available at: ruccompare.co.nz/privacy

13.2 We may collect usage data, analytics data, and technical logs.

13.3 We may use tracking technologies in accordance with our Privacy Policy.
